Disclaimer

Meridian South CPA is a CPA‑led firm focused exclusively on business compliance oversight and administrative support. This page explains important limitations on our services and the information provided on this website, in our emails, and through our client portal.

Scope of services

Meridian South CPA provides non‑attest, administrative compliance services. We coordinate certain ministerial state and license filings, monitor selected filing calendars, and help clients stay organized around entity and license requirements. Our role is ministerial and compliance‑focused and does not include legal, tax, or business advice, financial statement services, or ongoing bookkeeping.

Registered agent services are performed by Computershare Entity Solutions, Inc. and, where applicable, other third‑party providers under their own terms and conditions. Meridian South CPA coordinates enrollment, communications, and related filings, but does not act as registered agent of record and does not accept service of process. We are not responsible for the acts or omissions of third‑party providers, and clients should review and accept those providers’ terms separately.

The information on this website, in our emails, and within the Meridian South client portal is for general informational purposes only. It is not intended to provide, and should not be relied on as, tax, legal, or accounting advice. You should consult your own tax advisor, attorney, or other qualified professional regarding your specific situation before making decisions.

Nothing on this site creates a CPA‑client, attorney‑client, or other professional relationship unless and until you enter into a separate written engagement agreement with Meridian South CPA.

Client responsibilities

Clients remain responsible for the accuracy and completeness of all information they provide to Meridian South CPA and to any third‑party providers. You are responsible for reviewing and approving filings prepared on your behalf, promptly responding to information requests, and notifying us of changes that may affect filings or compliance.

You are also responsible for monitoring the broader legal, tax, and regulatory obligations of your entities, including—but not limited to—tax returns, licensing requirements, permits, and other compliance obligations outside the specific services you have engaged us to perform. Our tracking, reminders, and filing coordination are offered as an administrative convenience and do not replace your responsibility to oversee your own compliance.

No guarantee of outcomes

Meridian South CPA uses commercially reasonable efforts to provide accurate, timely, and reliable services. However, we cannot guarantee that governmental agencies or other third parties will accept or process any filing, application, or request, nor can we guarantee particular legal, tax, or business outcomes.

Processing times, rules, and requirements are determined by governmental authorities and third‑party providers and may change without notice. You are responsible for evaluating how these outcomes affect your business and for seeking appropriate legal or tax advice where needed.

For entities that are not in good standing, Meridian South CPA can assist with administrative reinstatement and related remedial filings based on your instructions. We do not advise whether reinstatement, dissolution, withdrawal, or any other option is preferable for your circumstances, and you should consult legal and tax advisors before choosing a course of action.

Third‑party services and platforms

Where our services involve third‑party providers (such as registered agent providers, filing vendors, payment processors, or portal platforms), those providers operate under their own terms, conditions, and privacy policies. Meridian South CPA does not control and is not responsible for those providers’ systems, availability, or actions, except to the extent expressly stated in a written engagement agreement.

Links or references to third‑party sites or services are provided for convenience only and do not constitute an endorsement or guarantee.

No public reliance

All materials, confirmations, and communications we provide are for the internal use of our clients and their advisors. They are not prepared for, and should not be relied on by, any third party as a substitute for that party’s own diligence, legal review, or professional advice.
